There are some important personnel-related matters on the agenda: As planned, Prof. Klaus Mangold is to retire from his post as Chair and will leave the Supervisory Board for reasons of age. At the Annual General Meeting the Board will propose Dr. Reinhard Ploss for election as successor to Prof. Klaus Mangold. Dr. Thomas Enders is also retiring from his Supervisory Board post to take up new business challenges elsewhere. To replace him, Dr. Sigrid Nikutta, since January 1, 2020 Management Board Member for Freight Transport at Deutsche Bahn AG, is proposed to the Annual General Meeting as a new member of the Supervisory Board.
The Executive Board and Supervisory Board of Knorr-Bremse AG have also decided to propose to the Annual General Meeting a dividend of EUR 1.85 per share for the financial year 2021 – an increase of around 22% compared to the previous year. This corresponds to 46% of net income in 2021. If this proposal is approved, Knorr-Bremse AG will have distributed more than EUR 1.1 billion to shareholders since its IPO in 2018.
As reported, the essential interests of the Thiele family will in future be represented by a family foundation in accordance with the will of Heinz Hermann Thiele. In advance of the Annual Shareholders‘ Meeting, the executor, Robin Brühmüller, has informed the Executive Board and Supervisory Board of Knorr-Bremse AG that the establishment of the foundation is well on track, but that – contrary to the original timetable – it is still being delayed by legal issues and official requirements. The executor has emphasized to Knorr-Bremse that this will not change the role of the foundation as a long-term anchor stockholder in Knorr-Bremse.
The company will be informed as soon as the date for establishment of the foundation has been set.
